JOB DESCRIPTION: CORPORATE SECRETARY

Reports To: CEO / Board of Directors

Job Purpose

Ensure compliance with statutory and regulatory requirements, support the Board on governance matters and provide high-level administrative support to the CEO.

Board support

Organize Board meetings, prepare agendas, minutes and follow-ups.

Ensure smooth communication and follow-through on key initiatives.

Advise the Board on corporate governance best practices.

Administrative support

Manage company calendar, meetings and appointments.

Handle correspondence, emails and stakeholder communication.

Prepare monthly reports and presentations

Act as the primary point of contact between the CEO and internal/external stakeholders.

Support strategic initiatives and maintain confidentiality.

Legal & Regulatory Advisory

Provide guidance on corporate legal and regulatory matters.

Liaise with external legal counsel when necessary.

Ensure company policies are compliant with legal requirements.

Maintain general and motor insurance records

Maintain company statutory registers KEBS,KIPI,NEMA, County GVT ETC.

Liaise with external legal counsel when necessary.

Ensure company policies are compliant with legal requirements.

Calendar & Schedule Management

Manage the company calendar, appointments and meetings.

Prioritize and coordinate internal and external engagements.

Records & Documentation

Maintain custody of company records, minutes, and legal documents.

Ensure proper documentation of company resolutions and decisions.

Qualifications & Experience

Bachelor's Degree in Law, Business Administration, or related field.

3–5 years relevant experience.
