DUTIES AND RESPONSIBILITIES
Company Secretarial Services
- Maintain and update statutory registers, company records, and corporate documentation.
- Prepare and maintain minutes, resolutions, notices, and other company secretarial documents.
- Coordinate and support the scheduling and administration of board and shareholder meetings.
- Ensure corporate records are accurate, properly maintained, and readily accessible when required.
Statutory Compliance and BRS
- Manage statutory filings and company updates through the Business Registration Service (BRS) portal .
- Process company registrations, changes in directors, shareholding, company details, and other corporate amendments as required.
- Monitor statutory deadlines and ensure required returns, notices, and filings are submitted on time.
- Liaise with relevant regulatory authorities on company registration and compliance matters.
Corporate Governance and Legal Compliance
- Ensure the company operates in accordance with applicable company law, regulations, and corporate governance requirements.
- Advise management and directors on company secretarial, governance, and statutory compliance matters.
- Monitor changes in relevant legislation and regulatory requirements and advise the company accordingly.
- Maintain proper documentation of corporate decisions and ensure required approvals are obtained.
Records and Documentation Management
- Maintain accurate and up-to-date statutory registers, certificates, resolutions, agreements, and other corporate records.
- Organize and securely maintain both physical and electronic company documentation.
- Conduct periodic reviews of company records to identify missing, outdated, or incomplete information.
- Ensure confidential corporate information is handled securely and only shared with authorized parties.
Stakeholder Support and Reporting
- Provide professional support and guidance to directors, management, shareholders, and other relevant stakeholders.
- Communicate effectively with government agencies, regulators, professional advisers, and other external stakeholders.
- Prepare compliance updates and reports for management and directors as required.
- Perform other company secretarial and corporate compliance duties assigned by management.

KEY REQUIREMENT SKILLS AND QUALIFICATION
- Must be a qualified Company Secretary and a current member of the relevant professional body.
- Minimum of 3 years’ relevant experience in company secretarial services, corporate compliance, or Business Registration Services (BRS).
- Practical hands-on experience using the BRS portal .
- Good understanding of company law, corporate governance, statutory compliance, and regulatory requirements.
- Strong knowledge of statutory company records and filing requirements.
- Proficiency in Microsoft Office and other relevant office applications.
