About this role
DUTIES AND RESPONSIBILITIES
Company Secretarial Services
- Maintain statutory registers, company records, and corporate documentation.
- Prepare minutes, resolutions, notices, and other company secretarial documents.
- Coordinate and support board, shareholder, and Annual General Meetings (AGMs).
Business Registration Services (BRS)
- Process company registrations, amendments, changes of particulars, and other filings through the BRS portal.
- Conduct company searches and obtain official company documents as required.
- Monitor and follow up on BRS applications to ensure timely completion.
Corporate Compliance
- Ensure timely preparation and submission of statutory returns and regulatory filings.
- Monitor statutory compliance deadlines and maintain an effective compliance calendar.
- Identify compliance gaps and recommend appropriate corrective action.
Corporate Governance
- Advise management and directors on company law and corporate governance requirements.
- Ensure proper procedures are followed when implementing board and shareholder decisions.
- Assist in maintaining effective governance policies, records, and procedures.
Client & Stakeholder Management
- Respond to client and stakeholder queries relating to company secretarial and compliance matters.
- Liaise professionally with government agencies, directors, shareholders, and other stakeholders.
- Provide regular updates on the progress of registrations, filings, and compliance matters.
Records & Documentation
- Maintain accurate and up-to-date physical and electronic corporate records.
- Ensure proper filing and secure storage of confidential company documents.
- Retrieve and provide corporate documents and information when required.

KEY REQUIREMENT SKILLS AND QUALIFICATION
- Qualified Company Secretary with relevant professional training and certification
- Must be a current and active member of the relevant professional body
- Minimum 3 years of relevant work experience in company secretarial services, corporate compliance, or Business Registration Services (BRS)
- Practical hands-on experience using the BRS/eCitizen portal
- Good understanding of Kenyan company law, corporate governance, and statutory compliance requirements
- Experience in preparing statutory filings, resolutions, minutes, and other corporate documents
- Strong attention to detail and excellent record-keeping skills
- Good written and verbal communication skills
