Responsibilities
- Coordination of board meetings including ensuring board papers are presented in a timely manner.
- Continuously developing and conduct ing review s of Board policies, charters, terms of reference, governance policy and internal policies, and constitutive documents of the Company to ensure compliance with applicable law and regulations and best practices and standards and are up to date and remain relevant.
- Continuously developing and reviewing procedures and compilation of Board Annual W ork Plan .
- Continually reviewing the constitutive documents of the Subsidiaries to ensure compliance with applicable laws and regulations, best practices and standards.
- Subsidiary corporate records regulatory compliance.
- Providing support in c oordinating key tasks including o n-boarding of new directors, organizing Board Induction programs and Board related activities as well as providing support to the members of the Board.
- Continually review developments in corporate governance to ensure that procedures are in place for the correct administration of subsidiary companies and correct information is given to the parent company.
- Providing support in p reparation and review of b oard papers, pre- minutes, assist in preparation of the AGM .
- Providing support in scheduling board meetings and preparation of matters arising and pe-minutes.
- S upport Head Counsel, Governance & Shared Services as required in ensuring that the governance arrangements for subsidiaries are conducted in accordance with the Board C harters, G overnance P olicy, C orporate G overnance best practices and applicable laws and regulations.
- In liaison with the Head Counsel, Governance & Shared Services provide advice and guidance on best corporate governance practices to subsidiaries in Kenya.
- Monitor and ensure compliance with applicable legislation and governance standards within subsidiaries in Kenya.
- Provide support in preparation and ensuring quality board packs are disseminated to the Board in quality and standard template developed across the subsidiaries.
- Promote knowledge and understanding of corporate governance principles and standards in the subsidiaries in Kenya.
- Provide assistance during Board, Board Committees and Shareholder meetings and follow up on action points.
- Support Head Governance in p reparations of annual and statutory returns and filing of the same within statutory timelines for Kenyan subsidiaries in Kenya and ensuring statutory returns are filed in all the subsidiaries outside Kenya.
- Working as part of the Company secretarial team to monitor relevant developments in legislation as well as industry best practices across the Subsidiaries in Kenya.
- Support the Head Counsel, Governance & Shared Services in conducting Board evaluation and performance appraisals.
- Support the Head Counsel, Governance & Shared Services in responding to requests for information across the business and externally.
- Ensure corporate information disclosures to regulatory agencies and other stakeholders are in accordance with the applicable law and regulations.
- Develop and maintain good relations and contact with internal and external stakeholders.
- Coordinate key tasks and projects handled under the Head Counsel, Governance & Shared Services.
Minimum Position requirements
- Bachelors Degree in Law
- Diploma in Law
• CPS(K)
- At least 5 years' relevant post admission work experience, including experience in the following:
- Company secretarial
- Corporate governance
- Legal and regulatory compliance
